Corporate Governance
The heart of NuSep's Corporate Governance policies are based on a set of values which are the true drivers of the Company. The Board of NuSep has articulated these values to include:
- Integrity;
- Honesty;
- Consistency;
- Benefiting mankind
While the ultimate commercial goal is to make large and consistent profits for its shareholders, the Board of NuSep believes that this goal is a natural outcome of developing and marketing innovate products which make a difference to people's lives. The Board of NuSep is very selective of the products and technologies that the company develops. They must first meet the criterion of benefiting humankind and consist of ethical products for manufacture and distribution. Then they must be profitable over the life of the products. These guiding principles direct the actions of the NuSep Board.
Building on these values the Board of NuSep believes that Good Corporate Governance is built on the two fundamental pillars of transparency and communication..
Transparency is provided by the articulation of policies which are then consistently applied. In order to meet this pillar, NuSep has established charters for the Board and all of its sub-committees. These charters provide the framework under which the board and its sub-committees function. These policies are made public so that all our stakeholders can understand NuSep's decision making process.
Communication is a two way street between NuSep and its stakeholders. NuSep promotes itself to its customers, shareholders, regulators, employees and suppliers. The Company also receives feedback from each of these groups which it then uses to develop better policies and products.
The following charters have been developed by the Board:
As part of the 2010 Board Review it was decided to undertake an external review of the skills required to take the Company forward into the Therapeutic Plasma markets. This review was completed in early 2011. Based on this the Board undertook an extensive interview process of potential director candidates appointing three new Directors in October 2011.
